Hereinafter referred to as the 'coach'.

 

It is agreed as follows :

1. PURPOSE OF THIS CONTRACT

This contract is a Business Coaching contract. Its purpose is to provide individual support to the 'client' in order to optimize their professional practice as well as the development of skills, know-how and efficiency.

Business Coaching is part of a dynamic of change to help the 'client' to achieve - as much as possible - one or more predefined objectives. It is a process of individual interviews based on a collaborative relationship to allow the 'client' to develop his potential and increase his level of performance.

 

The objectives can be broken down into 3 main categories:

1. Goals to get better (mental and physical health)

2. The objectives for success (Professional, studies, turnover)

3. Social goals (being more charismatic, finding a partner, etc.)

 

Goals can be related either to improved knowledge or to personal improvement.

 

In essence, we mainly focus on 'Business' objectives.

 

2. OBJECTIVES AND EVALUATION CRITERIA

The precise formulation of an objective, the definition of its perimeter and the criteria for evaluating its progress constitute the first objective of the 'client' and the 'coach'.

 

The formulation of objectives is very important or even essential if we want to give ourselves a real chance to be able to achieve them. We will recall the SMART concept:

S = Specific

M = Measurable

A = Achievable

R = Realistic

T = Temporarily defined

 

We should not think of the problems but express the objectives in terms of results.

You have to project yourself into the future.

  • What do you want ? (Positive expression)

  • Is it you who want it? (It's your choice not that of others)

  • Does the outcome depend entirely on you? (under your control)

 

Some examples of objectives

  • For the dd / mm / yyyy I want to know 3 techniques of Stock Management.

  • For the dd / mm / yyyy I want to know 3 good practices to prepare a meeting and a public presentation.

  • Between dd / mm / yyyy and dd / mm / yyyy, I want to improve my time management by freeing up 2 hours per week for my wellness activities.

  • For the dd / mm / yyyy I want to carry out my current tasks by investing 15% less resources.

 

To know if the objectives are achieved, it is necessary to define the criteria which will make it possible to measure the evolution and the achievement of these.

 

Not all goals require formal measurement. Only those which are strategic, which imply a representative change and those which the 'client' cannot measure himself (leading a meeting, making a presentation,…).

In the examples above, the objectives are quantified - therefore measurable - and the timing is precise - therefore measurable -.

In practice, to achieve the objectives, it is necessary to define a 'Work plan'. The 'Plan' will be carried out in 'Stages'.

 

The formulation of objectives and criteria for evaluating progress were determined by the 'client' and the 'coach' during the preliminary interview which was carried out on dd / mm / yyyy.

If necessary, during the mission, these can be adjusted or even redefined.

 

3. RECIPROCAL COMMITMENTS

3.1 Commitment of the 'coach'

The 'coach' undertakes to provide the 'client' with his tools and know-how to enable him to achieve his objectives. It also undertakes to:

  • To use his skills, his knowledge acquired during his professional career, as a university professor and the many known practical cases.

  • Absolutely respect professional secrecy.

  • Make a first diagnosis of the situation.

  • Set or accept ambitious but realistic goals.

  • Understanding 'Desires' or 'Possible Difficulties'

    • Listening

    • Rephrase with a positive orientation

    • Ask relevant questions

    • Prepare the accompaniment

  • Always have a positive outlook.

  • Stimulate the creativity of the person.

  • Find the coherence and the alignment of the remarks.

 

3.2 Commitment of the 'client'

The involvement of the 'client' is an essential condition for the success of Business Coaching. The 'client' therefore undertakes:

  • To respect the sessions fixed and not to move them, except for compelling reasons (illness, professional or personal emergency) - see the modalities in point 7.4.

  • To invest personally on a regular basis in the process.

  • To prepare the interviews and carry out the actions decided by mutual agreement during the Business Coaching interviews.

  • To be proactive.

 

4. DURATION OF THE BUSINESS COACHING MISSION

  • The Business Coaching contract is planned for X sessions of 1 hour and for a period of XX weeks.

  • Each session lasts 1 or 2 hours, fixed in advance by mutual agreement.

Each 1 hour session is organized as follows:

  • 15 minutes of preparation, synthesis and report.

  • 45 minutes of Business Coaching.

Each 2 hour session is organized as follows:

  • 30 minutes of preparation, synthesis and report.

  • 90 minutes of Business Coaching.

  • For consistency, the 'coach' may have to extend a session of 15 minutes maximum (free).

  • The dates and times of the sessions will be planned according to the progress of the mission and in perfect harmony with the agendas of the 'client' and the 'coach'.

At each session, the modalities of the following session will be determined.

  • In certain exceptional cases and which must be determined in advance by mutual agreement, a session may take place without limitation of time and will last as long as the two parties deem necessary.

  • The frequency of one session per week is the most effective for taking advantage of what has been learned.

  • The assignment should not exceed 3 - 4 months (12 to 16 weeks).

If the objectives are such that it is necessary to plan a duration longer than 3 - 4 months, it is desirable to define intermediate phases (milestones).

 

5. PERIOD OF VALIDITY OF SUBSCRIBED SESSIONS

This contract takes effect from its signature.

Out of respect for the 'coach' schedule, the sessions subscribed to are to be used within the timeframe provided for the assignment.

After this period, they can no longer be used and will not give rise to the reimbursement of the amount paid for the Business Coaching mission.

To deviate from this important rule, the 'client' will have to produce very detailed information.

 

6. PRACTICAL MODALITIES OF BUSINESS COACHING

6.1 Work sessions are scheduled meetings between the 'client' and the 'coach'.

At the request of the 'client', the scheduled interviews can possibly be supplemented by one-off interventions (telephone, e-mail).

  • After each session, a summary report is written by the 'coach' and sent to the 'client'.

  • The 'client' can submit his remarks or comments within 8 days.

  • The Business Coaching mission ends with an evaluation session for both the 'client' and the 'coach'. A summary report is drawn up by the 'coach' and submitted for the signature of the 'client'.

 

6.2 Each new session begins with the review of the report and the monitoring of the implementation of the recommended actions.

 

6.3 The contract provides for scheduled maintenance which can take place in two forms:

  • Face to face interviews.

    • In the premises of the 'coach'.

    • Any place agreed between the 'client' and the 'coach'.

  • E-coaching interviews via technological means eg Skype, Teamviewer, ...

 

6.4 One-off interventions can be made either by telephone or by e-mail.

In this case, it is the 'client' who contacts the 'coach'.

  • It must be understood that within the framework of these one-off interventions, depending on the request, the 'coach' may decide either to respond immediately or to postpone his response during a scheduled session. Indeed, if the 'coach' needs time, support or preparation, the response cannot be immediate.

  • In summary, ad hoc interventions can only concern requests for clarifications, validations, etc. on points already addressed and not on points not yet addressed.

 

6.5 If the 'client' achieves its objectives - in relation to the evaluation criteria - before the end of the contract, the contract may then be closed before the end of the sessions initially planned.

 

If the period is sufficiently long - minimum 15 days - between the request for early termination and the forecast for the next date of the sessions which remain to be performed, a final account will be established and a proportional reimbursement will be made.

A sum of 50 euros will be retained for administration and administration costs.

 

6.6 Throughout the duration of the contract, the parties may terminate it unilaterally by sending it in writing (mail or e-mail) with 2 weeks' notice.

 

Taking into account the period of - minimum 8 days - between the request for early termination and the forecast for the next date of the sessions which remain to be performed, a final account will be drawn up and a proportional reimbursement will be made.

A sum of 50 euros will be retained for administration and administration costs.

 

6.7 This contract can be renewed by simple amendment.

Any new amendment will specify the number of sessions and the duration of the mission.

If necessary, new objectives and new evaluation criteria will be set.

The hourly rate, a new billing as well as the terms of payment will be established.

 

7. SCHEDULE OR FREQUENCY OF MEETINGS

7.1 The first session will take place on dd / mm / yyyy.

The other sessions are planned either on fixed dates or in relation to a frequency eg every week.

 

7.2 The 'client' will book his appointments online, on the page of the site www.omcvf.com provided for this purpose https://www.omcvf.com/reservez-en-ligne

 

When the contract is signed by both parties, a confirmation email will be sent to the 'client'.

This e-mail will include the SECTION concerned as well as the possible CODE of the discounts according to the bundles chosen.

 

If the service is unavailable, appointments can be made by e-mail or by phone. In both cases, the 'coach' will send a confirmation by e-mail.

 

7.3 If necessary, depending on availability, the appointments can be modified subsequently.

 

7.4 In the event of postponement or cancellation, the conditions that apply are as follows:

7.4.1 by the 'client'

• 48 hours or more in advance: no impact.

• 24 hours in advance: 50% of a session is considered consumed.

• The same day: 100% of a session is considered consumed.

 

7.4.2 by the coach

• 48 hours or more in advance: no impact.

• 24 hours in advance: 30 'of screening are offered.

• The same day: 1 hour session is offered.

 

7.5 Except in exceptional circumstances, in the event of the 'client' being late, the session is accordingly shortened. If the delay is greater than 30 'then, the session is canceled and counted as completed.

 

7.6 In the event that the 'client' does not book appointments in advance, the 'coach' declines all responsibility for any waiting times.

8. FINANCIAL CONDITIONS

8.1 Hourly rate

Business Coaching is billed at € 150 per hour (including tax).

Taking into account special conditions (Students, Startups) or any bundles, within the precise framework of this contract, the flat rate for X sessions is therefore € XXX (vat).

 

The following points do not give rise to a statement or billing. They are offered:

  • The 1st general diagnosis.

  • Time overruns (15 minutes maximum).

  • Support provided (Powerpoint, World, Excel)

  • One-off interventions (telephone, e-mail).

 

8.2 Financial regulations

The mission is payable as follows:

  • In full, upon signing the contract or signing each new rider.

  • The purchase and payment are made online, on the site via Credit Card or Paypal:

  1. When the reservation for the 1st session is recorded and full payment has been made, a '100% Discount' CODE will be generated to be able to enter reservations for the following sessions. This will be communicated to the 'client'.

  2. For specific situations, payment terms may be considered.

 

8.3 Costs

  • Travel are charged at € 1 per km.

  • Optionally, if there should be accommodation and meal costs, these are billed at cost.

9. INVOICING

For professional clients, according to the preferences of the 'client', at the signing of the contract, at the end of each month or at the end of the Business Coaching mission, an invoice established by Via Fontana sprl will be established in the name and in the address of the 'customer'. It will be sent by e-mail or by post.

For non-professional customers, an invoice can be issued on request.

Usually, proof of payment is sufficient.

10. INTERRUPTION OF BUSINESS COACHING

10.1 Termination of the contract

If the 'client' or the 'coach' are in a situation making it impossible to continue this contract for a cause beyond their control, in particular cases of force majeure, serious illness, cessation of professional activity, this contract is terminated. as of right after having informed the other partner in writing (letter or e-mail) with 15 days' notice.

In this case, only the services actually provided remain acquired by the 'coach'. Services not performed are reimbursed to the 'client'.

A sum of 50 euros will be retained for administration and administration costs.

 

10.2 Abandonment by the 'client'

In case of abandonment of Business Coaching by the 'client' without valid reason, the 'coach' will send a written confirmation to confirm the abnormal situation and draw the attention of the 'client' to the fact that - in this unjustified situation - the sums paid by the 'client' remain the property of the 'coach' and that there will be no refund.

At most, a postponement of the remaining sessions may possibly be granted on a discretionary basis by the 'coach'. The 'coach' will not be required to justify if he refuses to postpone the remaining sessions to a sine die date.

 

10.3 End of the contract decided by the 'coach'

The 'coach' reserves the right to terminate Business Coaching in the event that the 'client' does not comply with the terms provided for in this contract and in particular if he does not respect the schedules, the seriousness of the work to be performed and he is casually.

If, after discussion and letters, the 'coach' does not see a real change in attitude, he will end the Business Coaching with 8 days' notice.

The sessions not performed would then be reimbursed to the 'client'.

A sum of 50 euros will be retained for administration and administration costs.

 

11. ETHICS AND RESPONSIBILITY

  • Professional Business Coaching is a relationship followed for a defined period that allows the 'client' to obtain - as far as possible - concrete and measurable results.

  • No guarantee of result can be given regarding the achievement of the objectives set by the 'client'.

  • The responsibility of the 'coach' concerns only the means made available to the 'client'. He is committed to providing his best efforts to achieve the mission.

  • The 'coach' does not promulgate "advice", it is limited to giving opinions and notifying "recommendations".

  • Decisions taken in a professional or personal context depend only on the 'client'.

  • The 'client' is solely responsible for the implementation or not of the actions proposed within the framework of the support and their consequences.

  • The 'coach' cannot - under any circumstances - be involved or be held responsible for any direct or indirect consequences linked to the decisions (or non-decisions) taken by the 'client'.

  • The 'coach' allows himself to suggest to the 'client' to call on another professional if the support goes beyond his field of expertise.

12. CONFIDENTIALITY

  • It is expressly agreed that any information relating to methods, procedures, technical or other processes or any other information communicated between the parties within the framework of this contract is considered confidential by the parties and may not be communicated to any third party, except in the case of made strictly necessary to assess punctually and in consultation.

  • Each of the signatory parties undertakes to use the confidential information it receives only for the purposes of this act and its consequences. Each of the parties is prohibited from directly or indirectly using confidential information received from the other party on its own behalf. The undersigned parties guarantee compliance with these obligations by their staff, their agents or any other person for whom they are responsible.

 

13. Disputes

Any possible dispute related to the execution, interpretation or termination of this contract will be subject to the exclusive jurisdiction of the courts and tribunals of the judicial district of Charleroi ruling in the French language.
